  1. Definitions

Unless the context requires otherwise and unless explicitly defined elsewhere in these Terms, capitalised terms and expressions in these Terms are defined terms and expressions which shall have the following meaning:

      1. “Confidential Information” means, in relation to a Party, all information (whether the information is in oral or written form or is recorded in any other medium):
        1. about or pertaining to the business of that Party, its affiliates, or their respective clients, suppliers, or business associates (including but not limited to information on products, technology, IT operations, intellectual property rights, know-how, financial information, and personal data), which is disclosed to the other Party, its affiliates or their respective personnel or contractors (or personnel of a contractor), or which is acquired by or otherwise comes to the knowledge of the other Party) in connection with the Digital Products;
        2. the contents of these Terms;
        3. all information identified by a Party as confidential; and

      1. “Terms” means these terms and conditions for digital products; and
      2. “You” or “Your” means any (natural or legal) person who has agreed to and is, therefore, bound by these Terms.
  1. Age
    1. You represent and warrant that:
      1. You are at least 18 years of age; or
      2. if You are the age of 13 years or older but younger than the age of 18 years, You have been given the prior consent (one of) Your parent(s) or legal guardian(s), to enter these Terms.
    2. The Seller makes no representation that the Digital Products are available or appropriate for use by individual persons below the age of 18.
    3. If You are younger than the age of 13 years, the Seller does not permit You to access Your Account, the Shop, or the Digital Products.
  2. Your Account
    1. You may have the possibility to create a user account in the Shop (hereinafter referred to as; Your “Account”) that may allow You to save Your information for future purchases, to receive certain information from the Seller and/or to use certain features in the Shop.
    2. The Seller will use Your Account information in accordance with the Seller’s privacy policy, available at https://lisajeffs.com/disclaimerprivacypolicy/.
    3. By creating Your Account, You represent and warrant that all information provided for the creation of Your Account is accurate, complete, and current. You agree to maintain and update as soon as reasonably possible Your Account information so that it remains accurate, complete, and current.
    4. In order to create Your Account, You may be required to choose a username and/or password. You are responsible for keeping Your username and password confidential.
    5. Regardless of whether a third party is or was authorised by You to access or use Your Account, You are and remain at all times responsible for any and all use of Your Account and that any and all use of Your Account is fully compliant with the provisions of these Terms.
    6. You acknowledge and agree that the Seller may rely on the username of Your Account, if applicable, to identify You.
  3. (Un)permitted use & communications
    1. You are granted a non-exclusive, limited, revocable, non-transferable, non-sublicensable license to use the Digital Products for Your own personal, non-commercial, informational and educational use and insofar as You do not violate any copyright, trademark, and other intellectual property or proprietary rights (hereinafter referred to as; the “License”).
    2. Any intellectual property rights remain exclusively vested in the Seller, its licensors, or its suppliers.
    3. You acknowledge and agree that You are not permitted to:
      1. share, edit, modify, copy, reproduce, enhance, reverse engineer, redistribute, transfer, transmit, sell, resell or otherwise exploit the Digital Products, except that You may complete, annotate, download, print, or modify the Digital Products solely for Your own personal use, including use within Your own business, provided that this does not result in unauthorised distribution, teaching, licensing, resale, or commercial use of the Digital Products;
      2. collect or use descriptions or prices of the Digital Products; or
      3. make any derivative use or create derivative works of the Digital Products,

whether free or paid, without the express consent of the Seller given by email.

    1. You shall not use the Digital Products to teach any third party or publish on any platform any of the information, methods, solutions, or formulae contained in or derived from the Digital Products.
    2. You shall be liable for damages resulting from the breach or violation of any provision contained in these Terms.
  1. Digital Products changes & updates
    1. The Seller reserves the right to amend, change, alter or modify the Digital Products at its discretion.
    2. The Seller may change or update any of the Digital Products. Updates may be included at the Seller’s sole discretion, but Your purchase does not guarantee access to future updates, additions, or revised versions. Clause 9 also applies to any updated versions made available to You.
  2. Fee
    1. As consideration for access to a Digital Product, You agree to pay the Seller a total payment equal to the fee stated on the sales page of such Digital Product in the Shop (hereinafter referred to as; the “Fee”).
    2. All amounts stated in the Shop are exclusive of any sales or value-added taxes chargeable unless explicitly stated otherwise. If any sales or value-added taxes are chargeable, You shall pay to the Seller, in addition to the Fee, an amount equal to the amount of the applicable taxes.
  3. Payment
    1. The Fee must be paid in full at the moment of purchasing a Digital Product. Payment in instalments is not permitted unless a payment plan is expressly offered on the relevant sales or checkout page.
    2. Any payments under these Terms are made through the payment methods made available in the Shop. You are responsible for any fees charged by Your bank, card issuer, payment provider, or currency-conversion provider.
    3. You authorize the Seller to charge the credit card or account chosen by You to complete all payments under these Terms, and You do not require separate authorization for each payment.
    4. If You fail to tender full and/or timely payment of any payment owed to the Seller, including, but not limited to, the Fee, or if a payment is cancelled or charged back, the Seller reserves the right to suspend Your access to the relevant Digital Product(s) until You have paid any payment(s) due in full.
  4. Refund policy
    1. To the fullest extent permitted by applicable law, by purchasing a Digital Product that is delivered with immediate access, You request that delivery begin immediately and acknowledge that any statutory cancellation or withdrawal rights may be limited or lost once delivery begins. Nothing in these Terms excludes, restricts, or waives any right or remedy that cannot lawfully be excluded, restricted, or waived.
    2. Because the Digital Products are digital products made available with immediate access, all purchases are final and non-refundable, except where a refund is required by applicable law.
  5. Access to Digital Products
    1. You will receive access to the Digital Product(s) through the Shop and/or Your Account immediately after completing the purchase, unless a different delivery time is clearly stated on the relevant sales page. Where a sales page describes access as “lifetime access,” this means access for as long as the relevant Digital Product remains hosted and available through the Shop, subject to these Terms. It does not mean the purchaser’s lifetime and does not guarantee that any platform or Digital Product will remain available indefinitely.
    2. The Seller reserves the right, at the Seller’s sole discretion, to completely or partially refuse, suspend, remove, or restrict Your access to the Shop, the Digital Products, Your Account, and/or any licences at any time without notice if the Seller knows or reasonably suspects that You have breached or will breach any obligation under these Terms.
  6. Format & compatibility
    1. The Digital Products may be made available in one or more formats, including online course content, video, audio, PDF, workbook, guide, template, worksheet, downloadable file, or other digital format described on the relevant sales page.
    2. The Digital Products are designed to be accessed using a current web browser and, where applicable, software capable of opening PDF, audio, video, or downloadable files. It is Your responsibility to ensure that Your chosen device and software are compatible with the selected Digital Product(s). The Seller is not responsible for and does not represent, warrant, or guarantee compatibility with every device or software configuration. Future updates to the Digital Products or changes in technology may impact compatibility.
  7. Term & termination
    1. These Terms are effective as of the moment of purchasing a Digital Product and continue:
      1. until You cancel these Terms; or
      2. until the Seller terminates these Terms in accordance with this clause 11.
    2. The Seller shall be entitled to terminate these Terms by email to You with immediate effect and thus without observing a notice period and without being liable or any compensation being due if:
      1. any payment that is due under these Terms has not been received by the Seller in full and on time;
      2. You breach any of Your obligations under these Terms; or
      3. necessary to satisfy any requirements, conditions, guidelines, or opinions contained in any directive, order, opinion, or ruling of a public authority.
    3. If these Terms are terminated or cancelled, which termination or cancellation can only occur on the basis of and in accordance with the relevant provisions of these Terms, then:
      1. the License shall be revoked with immediate effect upon termination;
      2. Your Account may be suspended or terminated;
      3. access to the Digital Products by You shall be revoked and terminated;
      4. You shall cease and abstain from the use of and delete the Digital Products from any location You have shared or stored the Digital Products;
      5. all rights and obligations of the Parties under these Terms shall end and become ineffective, except for:
        1. the rights and obligations accrued before that date;
        2. any rights and (payment) obligations of or pursuant to clauses 6 and 7; and
        3. any rights and obligations of or pursuant to clauses 12 through 26, which will remain in full force and effect after termination of these Terms; and
      6. such termination shall be without prejudice to any rights a Party may have vis à vis the other Party in connection with a breach of any provision of or obligation under these Terms occurring prior to their termination.
    4. If these Terms are terminated due to any of the reasons listed under clause 11.2(a) or 11.2(b), the Seller is entitled to refuse You access to any other (digital) products and/or services at the Seller’s sole discretion.
  8. Non-disparagement and prohibited use
    1. You agree not to knowingly make false, malicious, or misleading statements about the Seller, the Digital Products, or persons working for or employed by the Seller.
    2. Nothing in these Terms prevents You from providing an honest review, expressing a genuinely held opinion, reporting a concern to the Seller, making a lawful complaint to a regulator or other authority, or exercising any right available under applicable law.
    3. You shall not use the Digital Products or any information or materials in relation to the Digital Products, the Seller, and/or these Terms in any way that:
      1. is illegal, infringes or violates the rights of anyone;
      2. is offensive, obscene, defamatory, abusive, profane, hateful, vulgar, obscene, libellous, pornographic, political, threatening, derogatory, upsetting, insulting, misleading, discriminatory, sexist, racist or harmful to anyone in any way;
      3. disparages or discredits a Party;
      4. encourages or advocates conduct that constitutes a criminal offence, giving rise to (civil) liability or otherwise violates any law;
      5. is likely to cause confusion among third parties;
      6. portrays or insinuates any endorsement or sponsorship of a Party or its products or services by the other Party or in any other way portrays or insinuates that a Party supplies or approves of the other Party or its products or services; or
      7. portrays or insinuates any special relationship between the Parties.
    4. You shall not misrepresent or embellish Your relationship with the Seller (including, but not limited to, by expressing or implying that the Seller supports, sponsors, or endorses You) or express or imply any other type of relationship between the Parties except as expressly permitted by these Terms or agreed by email or written agreement between the Parties.
